Welcome to Dialogik. These Terms of Service ("Terms") govern your access to and use of our WhatsApp Business messaging platform, SaaS services, and API.

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

1. The Service

Dialogik provides a software solution to manage customer conversations, automate responses via AI agents, and integrate with the WhatsApp Business Platform and Telegram ("Services").

2. Account & Eligibility

  • You must be a legally recognized business entity.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must use a valid WhatsApp Business account and comply with Meta's Business Terms.

3. Subscription and Payments

  • Free Trial: We may offer trial periods. After the trial, a paid subscription is required.
  • Fees: Fees are billed monthly or annually. Failure to pay may result in service suspension.
  • Taxes: You are responsible for all applicable taxes and duties.
  • Refunds: Services are non-refundable unless required by applicable law.

4. Acceptable Use

You agree NOT to use the Service for:

  • Spamming or sending unsolicited promotional messages (TCPA/CAN-SPAM compliance required).
  • Sharing illegal, harmful, or offensive content.
  • Impersonating others or misrepresenting your business.
  • Violating WhatsApp's Commerce or Business Policies.

5. Termination

We may suspend or terminate your access immediately if you violate these Terms or if we receive excessive compliance complaints from Meta/WhatsApp regarding your number.

6. Limitation of Liability

Dialogik is provided "AS IS" and "AS AVAILABLE". To the maximum extent permitted by law, Dialogik Inc. shall not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues (e.g., due to Meta platform outages).

7. Tech Provider Relationship

We act as a Tech Provider (Solution Partner) to facilitate your access to the WhatsApp Business API. Your relationship with Meta/WhatsApp is also governed by their direct terms. We are not responsible for actions taken by Meta against your account.

8. Governing Law

These Terms shall be governed by the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.
